Job Description

SUMMARY:

The Assistant General Counsel (AGC) is an in-house legal position at the Public Health Institute. The AGC will provide professional legal services to protect the corporation's interests and maintain its operations within the scope of established law. The AGC will report to the General Counsel (GC) and serve in the Office of the General Counsel.

The AGC will provide advice and counsel for matters related to a wide range of complex legal issues including, but not limited to, contractual agreements, licenses, intellectual property, governance, employment law, government contracting, and legal and regulatory compliance with a focus on scientific research, research administration, and data privacy. The AGC may be assigned additional duties and responsibilities as organizational needs evolve.

This is a full-time, hybrid position. The AGC must be located in the San Francisco Bay Area and available to work in the office in downtown Oakland when required. The position may involve in-state and occasional out-of-state travel.

Full salary range for this position: $161,321 to $254,426 per year. The typical hiring range for this position is from $161,321 (minimum) to $207,874 (midpoint), based on 100% FTE. The starting salary is determined based on the candidate's knowledge, skills, experience, as well as budget availability.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Under the supervision of the GC, the AGC will provide professional legal services including, but not limited to:

  • Providing confidential opinions, interpretations, recommendations, and other legal services to executive leadership, senior management and other responsible parties.
  • Apprising the GC and/or Senior Management of legal developments relevant to PHI's operations.
  • Drafting legal opinions, recommendations and other services in the responsible subject areas contribute to the accomplishment of PHI's domestic and foreign program service areas by supporting PHI's exempt purposes, strategic goals and business methods, governance, operations and finance, asset management, liability avoidance, regulations, corporate communications, policy development, and internal affairs.
  • Interacting with a wide variety of outside parties including public and private funding and regulatory agencies, potential business partners, contractors, and vendors, outside counsel, opposing counsel, and other parties with whom PHI has or is considering relationships related to its mission and business, as appropriate.
  • Providing advice and counsel on the process for conducting internal investigations in employment and business operations and support related remediation and compliance efforts as needed.
  • Performing other duties as assigned.
  • Formation and implementation of business relationships

The subject matter areas that the AGC may provide legal advice and counsel include, but are not limited to:

  • Evaluation of business opportunities and due diligence
  • Commercial transactions, procurement, and real estate leasing
  • Private foundation and donor fundraising
  • Defense and prosecution of legal and administrative proceedings
  • Protection of intellectual property, trade secrets, and confidential business information
  • Employment law
  • Insurance and legal strategies related to risk management
  • Data security
  • Scientific research
  • Research administration, compliance, and responsible conduct
  • Data privacy, information security, and business ethics

QUALIFICATIONS To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.

Minimum Qualifications

  • 8 years of experience as an attorney or equivalent relevant experience, including experience in a law firm, as in-house counsel or government attorney
  • Graduate of an ABA accredited law school and current admission in good standing to practice law in the State of California (or another U.S. jurisdiction with the ability to practice in California as registered In-House Counsel)

  • Identify legal risks and concerns independently and bring them to the attention of executive leadership
  • Successfully practice law in an in-house setting including daily interaction with non-lawyer executives and managers.
  • Independently plan and accomplish goals in a timely manner
  • Train and advise non-lawyer managers and staff to perform business functions with a significant legal dimension

Plus:

  • Competence in legal research tools and techniques
  • Knowledge of ethical responsibilities of in-house legal counsel
OTHER:
  • The AGC is expected to maintain current knowledge of the essential subject areas of expertise and to participate in continuing legal education or comparable professional education in subject areas of expertise where superior knowledge is required.
