VP Legal - Finance and Corporate Governance

We're hiring for a Vice President Legal - Finance and Corporate Governance who will help develop short- and long-term strategies impacting the organization's legal function and will serve as the primary in-house legal resource for the Finance and SEC Reporting teams and will support other business units as determined by the Chief Legal Officer. This role ensures organizational operations and practices related to the supported business units are in compliance with applicable laws and regulations at all times and recommends changes to organizational policies or procedures with the goal of minimizing risk. The VP will report directly to the Chief Legal Officer. This role is based out of Waltham, Massachusetts.

"Gauges" of Responsibility -

  • Serve as primary Legal Department liaison to Finance and SEC Reporting team, overseeing other in-house attorneys and support staff in connection with assisting supported business units with (i) all financing activities (secured credit facilities, preferred equity issuances and bond offerings); (ii) all public company SEC filings (10K, 10Qs and 8Ks), (iii) contract and other legal agreement drafting, review, analysis and implementation; and (iv) other legal issues identified by the supported business units.
  • Collaborates with Accounting and Tax teams with respect to entity structure, formation, qualification and maintenance Supports Chief Legal Officer in coordinating Board of Director and related committee meetings, prepares and verifies accuracy of meeting notices or agendas, and ensures appropriate management of related minutes or materials.
  • Interprets and prepares legal documents, analyzes and interprets proposed and existing legislation and advises management on legal matters to guard the organization against legal liability with respect to supported business units.
  • Provides legal advice/counsel to Chief Legal Officer and supported business units in business-related areas of expertise (e.g., finance matters, SEC matters, corporate governance, etc.).
  • Act as liaison with external legal counsel on complex legal issues related to the supported business units.

Additional Requirements

  • You've earned a law degree from an accredited U.S. law school and are a member of the bar in at least one state (preferably Massachusetts).
  • You have at least 10+ years of in-depth experience in a corporate or transactional law firm and/or senior in house legal positions
  • Retail fuel and convenience store experience a plus.
